These Terms of Use ("Terms") govern your access to and use of the website located at www.elkinsdigital.com (the "Site"), operated by Elkins Digital LLC ("Elkins Digital," "we," "our," or "us"). By accessing or using the Site, requesting a review, or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
The Site and our services are intended for businesses and individuals who are at least 18 years old and have the authority to act on behalf of the business submitting a request. By using the Site, you represent that you meet these requirements.
Elkins Digital provides performance-based search engine optimization ("SEO"), Google Business Profile and local visibility optimization, web development, and (upon launch) email marketing services. The specific scope, pricing, and terms of any engagement are set out separately in a signed campaign agreement or proposal, which controls over these Terms in the event of a conflict for that engagement. Nothing on this Site constitutes an offer to provide services outside of a signed agreement.
Search engine rankings are determined by third parties, including Google, whose algorithms and policies are outside our control and subject to change without notice. Elkins Digital does not guarantee specific search engine rankings, positions, traffic levels, leads, sales, or revenue, whether under our pay-for-results model or otherwise. Our pay-for-results pricing model determines how ongoing keyword fees are calculated based on rankings actually achieved — it is a billing structure, not a guarantee that any particular keyword will rank. Results vary based on your website, industry, competition, market, geographic scope, domain authority, content quality, and your own cooperation and responsiveness during the engagement.
Standard campaigns require a one-time setup fee and run on a twelve (12)-month agreement from the campaign start date, as further described in your signed agreement. Ongoing monthly keyword fees, where applicable, are calculated according to the ranking position each approved keyword achieves, subject to your plan's monthly cap. National, highly competitive, or low-authority campaigns may be subject to custom pricing set out in a separate proposal. All fees are due as specified in your agreement; late or non-payment may result in suspension of services.
You agree to provide timely access to relevant accounts and platforms (such as your website, hosting, Google Analytics, Google Search Console, and Google Business Profile), respond to requests for approvals within a reasonable time, and provide accurate information about your business. Delays in cooperation may affect the timeline and outcome of your campaign, and Elkins Digital is not responsible for results affected by such delays.
All content on the Site — including text, graphics, logos, and software — is the property of Elkins Digital LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from Site content without our prior written consent. Deliverables produced under a signed service agreement (such as website code, content, or reports) are governed by the ownership terms of that agreement.
The Site may reference or link to third-party websites, platforms, or service providers, including web development partners we may refer clients to. We do not control and are not responsible for the content, policies, or practices of any third party. Any engagement with a referred provider is a separate relationship between you and that provider.
The Site and its content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free.
To the fullest extent permitted by law, Elkins Digital LLC and its owners, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Site or our services, even if advised of the possibility of such damages. Our total aggregate liability for any claim arising from a signed service agreement shall not exceed the fees paid by you to us in the three (3) months preceding the claim, except as otherwise stated in that agreement.
You agree to indemnify and hold harmless Elkins Digital LLC, its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Site, your breach of these Terms, or content or information you provide to us.
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Pennsylvania.
We may revise these Terms from time to time. Material changes will be posted on this page with an updated effective date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
